1. Introduction

These Terms and Conditions of Service (“Terms”) apply to your use of The TechOps Database (the “Website”), operated by TechOps (“TechOps”, “we”, “us”, or “our”).

By applying for an account, paying an invoice, accessing the Website, or using the Website, you agree to these Terms. If you do not agree, you must not use the Website.

2. About the Website

The TechOps Database is a subscription-based website that gives approved users access to content, services, tools, resources, or features made available through the Website during an active paid subscription period.

3. Eligibility

To use the Website, you must:

  • be at least 18 years old, or have authority from a parent, guardian, or legal representative;
  • have the legal capacity to enter into a binding agreement; and
  • provide true, complete, and current information when registering.

If you are applying or using the Website on behalf of a business or organisation, you confirm that you have authority to bind that business or organisation to these Terms.

4. Application, Approval, and Account Creation

To access subscription-only areas of the Website, you must first sign up through techops.co.nz/register

When you sign up:

  • your application will be reviewed by TechOps;
  • we may approve or decline an application at our discretion;
  • if approved, we will issue an invoice for the applicable subscription fee;
  • full payment of that invoice is required before an account is created; and
  • once payment is received in full, your account will be created and access details will be emailed to you.

Submitting a sign-up form does not guarantee acceptance or immediate access to the Website.

5. Subscription Term and Fees

Access to The TechOps Database is provided on a 12-month subscription basis.

The subscription fee is:

NZD $495 + GST per unique account registration per year

All fees are payable in full before access is provided or renewed.

Unless we state otherwise:

  • fees are in New Zealand dollars;
  • GST is added where required by law;
  • each subscription is for one unique account only; and
  • subscriptions are non-transferable.

You agree to pay all fees as they become due, including any reasonable late fees, collection charges, or debt recovery costs, to the extent permitted by law.

6. Renewal Process

Subscriptions do not renew automatically.

Approximately 3 months before your subscription expiry date, TechOps will email you a renewal notice and issue a new invoice for the next subscription term.

To renew access:

  • the renewal invoice must be paid in full before the end of the current subscription term; and
  • access will continue only once payment has been received in full.

If payment is not received before the renewal date:

  • your account may be suspended at the end of the current paid term; and
  • access will remain suspended until the renewal invoice is paid in full.

Once full payment is received, access may be reactivated.

7. No Automatic Renewal

For clarity:

  • your subscription does not automatically renew;
  • no renewal payment will be taken without a new invoice being issued;
  • you are responsible for ensuring payment is made before the subscription expiry date if you wish to continue access.

8. Refunds and Cancellations

TechOps’ policy on cancellation, withdrawal, and refund of fees may be obtained from TechOps on request.

Unless required by law or agreed by us in writing:

  • fees are non-refundable once paid;
  • no partial refund is available for unused subscription time; and
  • cancelling or choosing not to renew only stops future access after the current paid term ends.

Nothing in these Terms limits any rights you may have under New Zealand law.

9. Account Responsibilities

You agree to:

  • provide accurate and complete registration information;
  • keep your information up to date;
  • keep your login details secure and confidential; and
  • be responsible for all activity carried out using your account.

You must notify us promptly if you suspect unauthorised use of your account.

10. Acceptable Use

You agree to use the Website lawfully and responsibly.

You must not:

  • use the Website for unlawful, fraudulent, abusive, or misleading purposes;
  • interfere with the operation, security, or availability of the Website;
  • attempt to gain unauthorised access to any system, data, or account;
  • share your account with others unless expressly permitted by TechOps;
  • copy, scrape, reproduce, resell, or exploit Website content without written permission;
  • upload or transmit harmful code, viruses, or malicious material; or
  • use the Website in a way that may harm TechOps, the Website, or other users.

11. Privacy

TechOps collects and stores information from registration forms and related communications to manage subscriptions, internal administrative processes, internal reporting, and record verification.

Information may be supplied to, and sought from, other organisations for the purpose of verifying records and administering services.

Where required or authorised by law, TechOps may release information to government agencies, regulators, or public authorities, including agencies such as New Zealand Police, the Ministry of Justice, the Ministry of Social Development, or ACC.

By signing up and providing your information, you authorise such collection, use, and disclosure on the understanding that TechOps will observe the general conditions governing the release of information under applicable New Zealand privacy law.

You may request access to any personal information held about you and request correction of any errors in that information by contacting TechOps.

TechOps will collect, hold, handle, use, and disclose personal information in accordance with the Privacy Act 2020.

12. Intellectual Property

Unless otherwise stated, all Website content, materials, software, branding, text, graphics, documents, and resources are owned by or licensed to TechOps.

Your subscription gives you a limited, non-exclusive, non-transferable, revocable right to access and use the Website during your active paid subscription term.

You must not copy, modify, distribute, publish, sell, reverse engineer, or create derivative works from the Website or its content except where permitted by law or with our written consent.

You are permitted to download the available documents and resources to be used as reference material.

13. Service Availability

We aim to provide reliable access to the Website, but we do not guarantee uninterrupted or error-free availability.

Access may occasionally be affected by:

  • maintenance;
  • upgrades;
  • technical issues;
  • security events;
  • third-party failures; or
  • events outside our reasonable control.

We may modify, suspend, or discontinue any part of the Website where reasonably necessary.

14. Suspension and Termination

We may suspend, restrict, or terminate your account or access if:

  • you fail to pay an invoice when due;
  • your subscription term expires without renewal payment;
  • you breach these Terms;
  • we suspect unlawful activity, fraud, or misuse;
  • your account creates a security or operational risk; or
  • we are required to do so by law.

If your account is suspended for non-payment, access will remain suspended until the outstanding invoice is paid in full, unless we decide otherwise.

You may stop using the Website at any time. If you do not wish to continue after your current subscription term, you may simply choose not to renew.

15. Disclaimers

To the maximum extent permitted by law, the Website is provided on an “as is” and “as available” basis.

While we try to keep the Website accurate and available, we do not guarantee that:

  • the Website will always be uninterrupted, secure, or error-free;
  • all content will always be accurate, complete, or current; or
  • the Website will meet your specific needs or expectations.

16. Limitation of Liability

Nothing in these Terms excludes or limits any rights that cannot lawfully be excluded under New Zealand law.

To the maximum extent permitted by law, TechOps is not liable for any indirect, incidental, special, consequential, or loss-of-profit damages arising out of or connected with your use of, or inability to use, the Website.

Where liability cannot be excluded, our liability is limited to the amount paid by you for the current subscription term, or the re-supply of the relevant services, at our option and to the extent permitted by law.

17. Changes to These Terms

We may update these Terms from time to time.

If we make material changes, we will publish the updated Terms on the Website or notify users by email or other reasonable means. Continued use of the Website after updated Terms take effect means you accept the revised Terms.

18. Governing Law

These Terms are governed by the laws of New Zealand.

Any dispute arising from these Terms or your use of the Website will be subject to the non-exclusive jurisdiction of the courts of New Zealand.
